Terms of Service
Preamble
Caringly is a digital technology marketplace owned and operated by Global Crossover LLC, a limited liability company duly organized under the laws of the Commonwealth of Virginia, USA. Caringly exists exclusively as a technology-enabled connection platform whose sole function is to facilitate introductions between Care Receivers and independent Caregivers. Caringly is not a healthcare provider, medical organization, home health agency, licensed staffing agency, employer, or party to any caregiving arrangement.
1. Definitions
- "Caringly" — the platform, website, and mobile application at caringly.care and all subdomains.
- "Company" — Global Crossover LLC, Virginia LLC, owner and operator of Caringly.
- "Care Receiver" — any User who searches for, communicates with, or engages a Caregiver.
- "Caregiver" — any individual registered as a service provider, operating exclusively as an independent contractor.
- "Health Credits" — prepaid reloadable credits purchased to compensate Caregivers directly.
- "Verified Badge" — designation indicating a Caregiver has completed the Company vetting process.
2. Nature of Platform — Technology Facilitator Only
The Company provides technology infrastructure enabling Users to find and engage Caregivers. All Caregiving Services are performed exclusively by independent Caregivers. The Company has no role in the performance, quality, safety, legality, or outcome of any Caregiving Services. Nothing on the Platform constitutes medical advice, diagnosis, or treatment. Caregivers are independent contractors — not employees, agents, or representatives of the Company.
3. Eligibility and Account Registration
You must be at least 18 years of age to use the Platform. You agree to provide accurate, complete, and current registration information. You are solely responsible for maintaining account security. Each User may maintain only one active account. Providing false information is grounds for immediate termination.
4. User Responsibilities and Mandatory Due Diligence
Care Receivers must independently verify caregiver identity, credentials, qualifications, and fitness. You must conduct your own interviews and reference checks. You assume full responsibility for all decisions regarding selection, engagement, and supervision of any Caregiver. Caregivers must ensure all information submitted is accurate and disclose any criminal charge, conviction, or license change within 48 hours.
5. Prohibited Conduct
- Fraud, misrepresentation, or deception in any form.
- Providing false credentials or professional qualifications.
- Elder abuse, neglect, financial exploitation, or any harm to patients.
- Theft or unauthorized access to a patient's finances or property.
- Using the Platform for any purpose that violates applicable law.
- Transmitting malware or harmful code through the Platform.
- Creating accounts to generate fraudulent reviews.
6. Caregiver Vetting and Background Check Process
Identity Verification: Government-issued photo ID, SSN verification, address history (7 years minimum), and biometric matching where available.
National Criminal Background Check: National Criminal Database (all 50 states), county-level court records, federal district courts, Terrorist Watch List, OFAC SDN list, and Global Watchlist screening.
Sex Offender Registry: NSOPW (U.S. DOJ), all state registries. Any match results in permanent, irrevocable denial of access — no appeal.
Professional License Verification: State Board of Nursing for RNs/LPNs, state CNA registries, therapy licensing boards, phlebotomy certifications.
Healthcare Sanctions: OIG Exclusions List, SAM.gov Excluded Parties, and state Medicaid exclusion databases.
Employment & References: 5-year employment history review, minimum 2 professional references.
Ongoing Monitoring: Annual re-vetting including repeat criminal and license checks. Verified Badge may be revoked at any time upon discovery of disqualifying information.
7. Health Credits and Payment Terms
Health Credits are prepaid digital credits non-redeemable for cash. The Company takes no commission — 100% of credits applied to a Caregiver's services are disbursed in full. Credits are non-refundable except as required by applicable law. Caregivers set their own rates exclusively.
8. Open Communication Policy
Caringly expressly permits and encourages direct communication between Care Receivers and Caregivers, including sharing personal contact information. The Company does not monitor or restrict private communications.
9. Intellectual Property
The Caringly name, brand, logo, domain, website, and application are the exclusive property of Global Crossover LLC, protected under U.S. and international law.
10. Privacy and Data Protection
Data collection and use is governed by the Caringly Privacy Policy at caringly.care/privacy. The Platform is not subject to HIPAA as a Covered Entity.

You agree to defend, indemnify, and hold harmless Global Crossover LLC and its members, officers, and employees from all claims arising from your use of the Platform.
14. Dispute Resolution — Mandatory Binding Arbitration
All disputes shall be resolved through binding individual arbitration under AAA Consumer Arbitration Rules. Governing Law: Commonwealth of Virginia, USA.
15. Modifications
The Company may modify these Terms at any time. Continued use after the effective date constitutes acceptance of revised Terms.
16. Termination
The Company may suspend or terminate any account at any time, with or without notice.
17. General Provisions
Entire Agreement. Severability. Waiver. Assignment. Force Majeure.
